A new report claims that UK ISP Opus Broadband<\/a>, which was previously reported<\/a> to have been working with investment firm Alchemy Partners<\/a> on a potential c.\u00a3250m bid for TalkTalk<\/a>’s consumer business, before later walking away<\/a>, has now allegedly tabled a cut price bid of around \u00a3100m for the debt-strained internet provider.<\/p>\n

The offer, which Sky News<\/a> said today was unlikely to be accepted by TalkTalk<\/a>’s Board, reflects the extremely difficult situation that the wider Group now finds itself in. As reported last week, existing investor Ares Management<\/strong> is instead said to be positioning itself to take long-term ownership of the consumer business.<\/p>\n

NOTE:<\/strong> The TalkTalk<\/a> Group\u2019s latest annual accounts (here<\/a>) revealed that the provider had made a statutory loss before tax of \u00a3465m for the year ended 28th February 2025 (up from \u00a3153m last year). The overall level of net debt (excluding leases) has also hit \u00a31.2bn \u2013 rising to \u00a31.96bn if you include leases.<\/div>\n

Meanwhile the Group’s efforts to sell their wholesale business – PXC – also ran into difficulties<\/a> this week after lead bidder Octopus Investments<\/strong> retreated. One key difficulty is that TalkTalk\u2019s consumer business is strongly linked to PXC\u2019s wholesale products, thus any deal for one side of the business or the other would require some agreement on how that relationship continues into the future.<\/p>\n

The group is currently said to have until the end of September 2026 to resolve its future, which is partly because another big payment to Openreach<\/a> (BT<\/a>) will become due around then \u2013 something that might require a further injection of funding from Ares. The worst-case scenario would be a collapse, which seems unlikely but might otherwise trigger a tedious Supplier of Last Resort<\/strong> (SoLR) process; not the first time such a thing has been discussed (here<\/a>).<\/p>\n

The OTA has previously sketched out a limited SoLR process<\/a> to help protect customers in the event of a big failure, but it\u2019s largely untested at this scale. Previous reports have suggested that BT<\/a> could potentially take on TalkTalk’s base, but rescuing upwards of 1.5-1.7 million customers could create resource problems for even an ISP of BT<\/a>\u2019s scale. This is before we consider the likely competition concerns of such an outcome and the huge complexity of TalkTalk\u2019s wider arrangements with alternative networks etc. (BT doesn\u2019t use altnets, only Openreach<\/a>).<\/p>\n","protected":false},"excerpt":{"rendered":"
