{"id":48246,"date":"2026-10-01T07:36:06","date_gmt":"2026-10-01T06:36:06","guid":{"rendered":"https:\/\/www.ispreview.co.uk\/?p=48246"},"modified":"2026-10-01T08:10:22","modified_gmt":"2026-10-01T07:10:22","slug":"talktalk-bidder-asks-openreach-to-waive-uk-wholesale-broadband-charges","status":"publish","type":"post","link":"https:\/\/www.ispreview.co.uk\/index.php\/2026\/10\/talktalk-bidder-asks-openreach-to-waive-uk-wholesale-broadband-charges.html","title":{"rendered":"TalkTalk bidder asks Openreach to waive UK wholesale broadband charges"},"content":{"rendered":"<p>The lead bidder, Epiris, for part of the debt-ridden <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/tt\" rel=\"nofollow\" target=\"_blank\">TalkTalk<\/a> Group, which is now in the final stage of its turbulent efforts to dispose of both their consumer broadband ISP business and the PXC (PlatformX Communications) wholesale business, has reportedly asked network supplier <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/openreach\" target=\"_blank\">Openreach<\/a> (<a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/britishtelecom\" rel=\"nofollow\" target=\"_blank\">BT<\/a>) to waive several months of payments to support a rescue deal.<!--more--><\/p>\n<p>Just to recap. Private equity firm <strong>Epiris<\/strong> have been attempting to secure a deal for <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/tt\" rel=\"nofollow\" target=\"_blank\">TalkTalk<\/a>&#8217;s wholesale-focused PXC business since <strong>Octopus Investments<\/strong> retreated from an earlier bid. Epiris is also in the middle of a separate \u00a31bn+ takeover bid for London-listed business ISP Gamma Communications (<a href=\"https:\/\/www.ispreview.co.uk\/index.php\/2026\/09\/bidding-war-erupts-over-uk-business-isp-gamma-as-waterland-tackles-epiris.html\">here<\/a>), which if successful could potentially share substantial financial synergies with PXC.<\/p>\n<div class=\"bq2\"><strong>NOTE:<\/strong> <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/tt\" rel=\"nofollow\" target=\"_blank\">TalkTalk<\/a>&#8217;s latest annual accounts (<a href=\"https:\/\/www.ispreview.co.uk\/index.php\/2025\/08\/broadband-isp-talktalk-publish-uk-accounts-to-reveal-surge-in-losses.html\">here<\/a>) revealed that the provider had made a statutory loss before tax of \u00a3465m for the year ended 28th February 2025 (up from \u00a3153m last year). The overall level of net debt (excluding leases) has also hit \u00a31.2bn \u2013 rising to \u00a31.96bn if you include leases.<\/div>\n<p>Meanwhile the TalkTalk Group, which is being advised by <strong>PJT Partners<\/strong>, are understood to have appointed <strong>Alvarez &amp; Marsal<\/strong> (A&amp;M) to help dispose of both their consumer and wholesale businesses using a pre-pack administration process. TalkTalk\u2019s consumer business is also strongly linked to PXC\u2019s wholesale products, thus any deal for one side of the business or the other would need a complementary agreement.<\/p>\n<p>However, the focus today is on Epiris&#8217; bid for PXC, which is said by <a href=\"https:\/\/news.sky.com\/story\/bt-asked-for-payment-waiver-as-talktalk-rescue-negotiations-intensify-13593725\" target=\"_blank\" rel=\"noopener\">Sky News<\/a> to be facing a challenge due to PXC&#8217;s now imminent requirement for paying a significant bill to <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/openreach\" target=\"_blank\">Openreach<\/a> for provision of their UK network services (broadband, Ethernet etc.) to the TalkTalk Group. Epiris is now understood to have asked the <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/britishtelecom\" rel=\"nofollow\" target=\"_blank\">BT<\/a> Group to &#8220;<em>waive or write off several months of payments<\/em>&#8221; from PXC to <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/openreach\" target=\"_blank\">Openreach<\/a> &#8211; said to be worth over \u00a3100m &#8211; in order to allow their rescue deal to complete.<\/p>\n<p>Network access provider Openreach would naturally be well within their rights to say no, although much will depend upon the structure of what Epiris has proposed. Not to mention that Openreach will need to consider how much it might lose were the Group to collapse early next week. Ultimately none of this is Openreach\u2019s fault and they\u2019re being somewhat asked to carry the can for another company\u2019s poor management.<\/p>\n<p>On top of this there are likely to be some political pressures, which stem from the fact that PXC are a key supplier to thousands of vulnerable customers as well as hospitals, doctors&#8217; surgeries and other areas of <strong>Critical National Infrastructure<\/strong> (CNI). But the reality here is that, even if the Group did collapse, a solution is almost certain to be found that keeps c.1.6 million customers connected. The question is more over the survival of everything else.<\/p>\n<p>As for TalkTalk&#8217;s consumer business, the expectation is currently still that existing investor <strong>Ares Management<\/strong> will take ownership of the business, although <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/vodafoneuk\" rel=\"nofollow\" target=\"_blank\">Vodafone<\/a> and Opus Broadband are understood to still be engaged in talks.
