{"id":48326,"date":"2026-10-07T08:26:07","date_gmt":"2026-10-07T07:26:07","guid":{"rendered":"https:\/\/www.ispreview.co.uk\/?p=48326"},"modified":"2026-10-07T08:35:46","modified_gmt":"2026-10-07T07:35:46","slug":"virgin-media-o2-ceo-vents-anger-at-uk-govt-over-bts-talktalk-broadband-deal","status":"publish","type":"post","link":"https:\/\/www.ispreview.co.uk\/index.php\/2026\/10\/virgin-media-o2-ceo-vents-anger-at-uk-govt-over-bts-talktalk-broadband-deal.html","title":{"rendered":"Virgin Media O2 CEO vents anger at UK Govt over BT&#8217;s TalkTalk broadband deal"},"content":{"rendered":"<p>The CEO of broadband and mobile giant <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/vm\" rel=\"nofollow\" target=\"_blank\">Virgin Media<\/a> (<a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/o2uk\" rel=\"nofollow\" target=\"_blank\">O2<\/a>) has today published an Open Letter that it just sent to Lisa Nandy MP, Secretary of State for Culture, Media and Sport, which makes their objections to <strong><a href=\"https:\/\/www.ispreview.co.uk\/index.php\/2026\/10\/telecoms-giant-bt-acquires-uk-broadband-isp-talktalk-and-wholesale-biz-pxc.html\" target=\"_blank\" rel=\"noopener\">the acquisition<\/a><\/strong> of <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/tt\" rel=\"nofollow\" target=\"_blank\">TalkTalk<\/a> and PlatformX Communications (PXC) by <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/britishtelecom\" rel=\"nofollow\" target=\"_blank\">BT<\/a> Group quite clear &#8211; despite the fact they didn&#8217;t bid themselves.<!--more--><\/p>\n<p>Just to recap. <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/britishtelecom\" rel=\"nofollow\" target=\"_blank\">BT<\/a> reached a deal to acquire both <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/tt\" rel=\"nofollow\" target=\"_blank\">TalkTalk<\/a>&#8217;s consumer broadband ISP business and their PXC (PlatformX Communications) wholesale business on Monday (5th October), which occurred after <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/tt\" rel=\"nofollow\" target=\"_blank\">TalkTalk<\/a> repeatedly failed to reach a sale agreement with any of the other bidders.<\/p>\n<p><a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/britishtelecom\" rel=\"nofollow\" target=\"_blank\">BT<\/a> ultimately stepped in to avoid a disorderly liquidation, which became increasingly likely after it emerged that there wasn\u2019t even enough money left to fund the company&#8217;s administration. Under corporate law, the Directors might have had to cease TalkTalk\u2019s operations, which would have disrupted supplies to various critical public services and vulnerable customers.<\/p>\n<p>The highly unusual agreement, which might have ordinarily raised significant competition concerns, was only possible because the Government&#8217;s Secretary of State issued a <strong>Public Interest Intervention Notice<\/strong> under section 42 of the <strong>Enterprise Act 2002<\/strong>. The notice allows her to consider the wider public interest of the deal, once the CMA has reported on its competition concerns.<\/p>\n<p>The BT Group will ultimately acquire TalkTalk and PXC out of administration on a debt-free basis for a total cash impact in FY27 of about \u00a3400m. But crucially, this is not a normal purchase by any stretch of the imagination. Part of that money will thus also go toward paying administration costs, trading losses, some working capital movements and other items etc.<\/p>\n<p>Suffice to say that VMO2, which didn&#8217;t itself bid on the provider and previously described the deal as a &#8220;<em>stitch up masked as a rescue deal in the public interest<\/em>&#8220;, has today published an Open Letter to highlight their concerns in a more detailed and formal capacity.<\/p>\n<blockquote><p><span style=\"color: #339966;\"><strong>Acquisition of TalkTalk and PlatformX Communications by BT Group<\/strong><\/span><\/p>\n<p><strong>Dear Secretary of State,<\/strong><\/p>\n<p>Following yesterday\u2019s announcement that BT Group will acquire TalkTalk\u2019s consumer business and PlatformX Communications (PXC) out of administration, I am writing on behalf of <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/vm\" rel=\"nofollow\" target=\"_blank\">Virgin Media<\/a> <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/o2uk\" rel=\"nofollow\" target=\"_blank\">O2<\/a> as we believe the transaction raises fundamental questions for competition, consumers and continued investment in UK connectivity.<\/p>\n<p>We fully recognise the need to protect TalkTalk customers, particularly vulnerable households, and maintain critical public services. However, an immediate continuity solution must not become, by default, a permanent restructuring of the UK broadband market in favour of the incumbent.<\/p>\n<p>Business continuity and permanent ownership are separate questions. Protecting customers does not, in our view, require Government to predetermine who should ultimately own TalkTalk\u2019s consumer and wholesale businesses; credible alternative arrangements should be fully explored.<\/p>\n<p>Given the exceptional intervention, we would welcome clarity on the evidence relied upon by the Secretary of State, and how it supports the process and timetable now being followed.<\/p>\n<p><strong>TalkTalk\u2019s distress is a symptom of a fragile broadband market<\/strong><\/p>\n<p>TalkTalk\u2019s collapse should not be viewed simply as the failure of one company. It is a warning about the health and structure of the UK\u2019s fibre market. It has been unable to sustain its position in a market characterised by intense pressure on margins, fragmented network economics and insufficient scale for a challenger. The appropriate response should be to examine why the market has produced this outcome, not to make it structurally less competitive by transferring a major customer base and wholesale platform to the incumbent.<\/p>\n<p>If the consequence of market failure is that distressed challengers are absorbed by the dominant network operator, the market risks becoming self-reinforcing. Reduced competition leads to fewer viable routes to scale, weaker incentives for alternative investment and greater dependence on the incumbent.<\/p>\n<p><strong>BT\u2019s position requires especially careful scrutiny<\/strong><\/p>\n<p>In this context, it is important to remember that BT is not simply another prospective purchaser. Through <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/openreach\" target=\"_blank\">Openreach<\/a>, it is the dominant fixed-network operator, a major supplier to TalkTalk and a significant creditor, while BT, <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/eebroadband\" rel=\"nofollow\" target=\"_blank\">EE<\/a> and <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/plusnetuk\" rel=\"nofollow\" target=\"_blank\">Plusnet<\/a> compete directly with TalkTalk for retail customers.<\/p>\n<p>This creates a particularly uncomfortable sequence of events. <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/openreach\" target=\"_blank\">Openreach<\/a> has been seeking repayment of substantial sums owed by TalkTalk, adding to the financial pressures preceding its administration. BT has now acquired the resulting business and, through that transaction, further secured its incumbent position. The CMA will need to examine closely the extent to which BT\u2019s conduct and leverage as supplier and creditor affected the options available to TalkTalk, and whether it is appropriate for the same Corporate group ultimately to benefit from the outcome.<\/p>\n<p><strong>A fundamental question of consistency<\/strong><\/p>\n<p>The timing also raises a fundamental question of consistency. Only days ago, the CMA provisionally identified competition concerns with <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/nexfibre\" target=\"_blank\">nexfibre<\/a>\u2019s proposed acquisition of Substantial Group, including <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/netomnia\" target=\"_blank\">Netomnia<\/a>, despite its potential to support further full-fibre investment and create a scaled, financially sustainable challenger to <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/openreach\" target=\"_blank\">Openreach<\/a>. Specifically, these concerns noted a lessening of wholesale competition in the broadband market.<\/p>\n<p>At the same time, yesterday\u2019s announcement transfers PXC\u2019s significant wholesale operations to BT through a pre-pack process removing an important source of independent wholesale competition.<\/p>\n<p>The PXC element should therefore be assessed separately and on its own merits. At a minimum, the CMA will need to consider whether separation, divestment or other structural remedies are necessary to preserve meaningful wholesale competition.<\/p>\n<p><strong>The investment signal matters<\/strong><\/p>\n<p>The precedent also matters. Relaxing safeguards for an incumbent acquiring a distressed competitor could weaken investor confidence in a stable and predictable UK framework, making it harder to attract the long-term capital needed for competition, deployment and the Government\u2019s connectivity ambitions.<\/p>\n<p><strong>The CMA must have sufficient time to do its job<\/strong><\/p>\n<p>We are particularly concerned about the timetable set by the Public Interest Intervention Notice (PIIN).<\/p>\n<p>The CMA needs sufficient time to gather and analyse evidence, assess the potential competition concerns and produce a meaningful report.<\/p>\n<p>By comparison, the aforementioned <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/link\/netomnia\" target=\"_blank\">Netomnia<\/a> transaction has been under review for eight months. We are concerned that the current timeframe may not permit an in-depth assessment and this is just a paper exercise.<\/p>\n<p>The CMA must have time to properly assess whether other credible commercial options were available for the consumer and wholesale businesses, and whether BT\u2019s position as supplier and creditor affected the outcome. It must also have time to consider (and consult on) whether there are any robust and enforceable remedies, such as the divestment of TalkTalk customers and PXC, that could mitigate any competition concerns that it may identify.<\/p>\n<p>An immediate continuity solution must not create lasting market concentration, reduce choice for retail or wholesale customers, or weaken investment incentives for Openreach\u2019s challengers.<\/p>\n<p><strong>Protect customers today, protect competition tomorrow<\/strong><\/p>\n<p>We are not seeking preferential treatment for <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/vm\" rel=\"nofollow\" target=\"_blank\">Virgin Media<\/a> <a href=\"https:\/\/www.ispreview.co.uk\/index.php\/go\/o2uk\" rel=\"nofollow\" target=\"_blank\">O2<\/a> or any other prospective participant, instead an open, competitive process in which credible participants can offer alternatives and the long-term implications for competition are fully assessed.<\/p>\n<p>If BT is ultimately permitted to acquire TalkTalk, we believe this should not be without conditions to protect retail and wholesale competition to ensure that the transaction does not simply transfer further retail scale to BT.
