@Kane.

Telefónica UK transferred its UK assets (O2) into their 50/50 JV with Liberty Global (doing the same with their UK asset Virgin Media UK) into a company called VMED O2 UK Limited.

Giffgaff Limited however remains wholly owned by Telefónica UK.

As an MVNO it is separate company but is currently dependent on its underlying network agreement and the legacy O2 systems. It is unlikely there will be any change regarding 4G calling until either they change their commercial agreement or O2 address underlying systems.

In addition, O2 has a significant amount of 3G only network and has not yet announced any 3G closure date. O2 will need to update its network prior to any closure.

O2 does offer 4G Calling on some of its own plans which can be used where compatible O2 4G VoLTE network is present and the device is recognised. Where it is not the phone will continue to drop to 3G for its calls.

Commercially O2 will be under continued pressure to update their network, systems and service offerings but are probably awaiting their 4G/5G upgrade plans.

The murky corporate world with multiple legal entities, common directors and hidden agendas.

There's nothing murky about it. All of Telefonica UK became part of VMO2.

Giffgaff is part of Telefonica UK and therefore became part of VMO2.

Apologies. It appears I was wrong. Telefónica UK has been placed lower within the structure than I had been led to understand when initially announced. See chart.

The "murky" reference was referring to my suspicion as to why companies need so many legal entities with common board members.

oh yeah, that looks dodgy as f..

So it is. I'd have thought Telefonica SA would be the one for giffgaff for some reason unless that's changed at some point (apart from obvious reasons of VMO2).

Edit: the structure in my head was completely different to the image about be, probably reverse order 😂🙃

I think they have the same problem as Tesco Mobile, stuck on old O2 infrastructure and not full MVNOs, Sky which Is newer has both and is a full MVNO.

Sky built it's own IMS which gives them WiFi calling etc.

It's a case of the others also doing that but choosing not to, O2 clearly doesn't want them using theirs.

No doubt its to do with tax and financing, especially loans and collateral and how they treat different assets and entities for these purposes. Good old corporate finance.

Cool find on the structure chart btw.

Well we were due do to have this in 2020 on giffgaff according to this post

What do you think will happen then if giffgaff was sold off obviously what could happen

It would run under a different network but have access to things like 4G/WiFi calling.

O2 probably doesn't want to invest in such.

I just saw something on the giffgaff community about Wi-Fi calling and 4G VoLTE calling it will be launched early next year this is fantastic
